Be Healthy Group d.o.o. is registered in the Kranj court register on 12th April 2016, registration number SRG: 2016-15840. These Terms apply to all business relationships, contracts, and services offered by Be Healthy Group d.o.o. to its partners, unless otherwise agreed in writing.
2. Definitions

Agreed Contract: Any written agreement, confirmed order, or signed contract between Be Healthy Group d.o.o. and the partner.
SLA (Service Level Agreement): Agreed quality standards, delivery, support, and response times applicable to services or products.

5. Offer, Orders, and Conclusion of the Contract
All offers are for informational purposes, unless explicitly stated otherwise. The partner places an order via order form, email, or another agreed-upon channel. The order is considered confirmed only upon receipt of written confirmation from Be Healthy Group d.o.o.
Be Healthy Group d.o.o. reserves the right to reject an order or change the delivery date due to stock availability or other objective reasons.

6. Prices and Payments
Prices are quoted in EUR and do not include shipping costs or other charges unless explicitly stated otherwise.
Payment is made via proforma invoice or another agreed-upon method, which determines the payment deadlines.
Late payment interest will be charged in case of non-payment within the agreed term.
Any price changes are only possible with the consent of both parties.
7. Delivery and Collection
The delivery of products or the performance of services is carried out at the agreed location, in accordance with transport or execution documents.
The risk of loss or damage passes to the partner upon receipt or signing of the delivery document.
Be Healthy Group d.o.o. is not responsible for delays caused by force majeure or third parties (transport, suppliers).
8. SLA – Agreed Service Standards
For all services provided by Be Healthy Group d.o.o., where agreed:
Service availability: Be Healthy Group d.o.o. guarantees a service availability of at least 99% during business hours, except for scheduled maintenance.
Support response time: The standard response time for Be Healthy Group d.o.o. to partner requests is 24 hours during business hours, and 4 hours for critical errors.
Error resolution: Be Healthy Group d.o.o. commits to resolving critical errors within 48 hours of error confirmation.
Monitoring and reporting: Be Healthy Group d.o.o. may periodically provide reports on the usage and performance of the services, if agreed.
9. Warranty and Support
Be Healthy Group d.o.o. provides a voluntary warranty for products or services if specified in the contract or SLA.
The scope of the warranty, terms, and conditions of use are defined in the written agreement.
Support includes technical assistance, updates, repairs, and consulting, in accordance with the agreed SLA.
10. Intellectual Property
All intellectual property rights, including copyrights, trademarks, patents, and know-how, remain the property of Be Healthy Group d.o.o.
The partner obtains only non-exclusive, non-transferable licenses to use the products or services in accordance with the contract. Any unauthorized copying, distribution, or modification is prohibited.
11. Data Protection and Confidentiality
The partner and Be Healthy Group d.o.o. agree to comply with data protection legislation (GDPR) and maintain business confidentiality. Disclosure of confidential information to third parties without written consent is prohibited. Business information will be used solely for the fulfillment of contractual obligations.
12. Liability and Limitation of Liability
Be Healthy Group d.o.o. is responsible for the compliance of products or services with the contractual terms.
Be Healthy Group d.o.o. is not liable for indirect, incidental, or consequential damages.
In case of a defect, Be Healthy Group d.o.o. will perform repairs, replacement, or other appropriate actions in accordance with the SLA.
13. Dispute Resolution
All disputes will be attempted to be resolved amicably.
If an amicable resolution is not possible, the competent court for disputes is the court in Ljubljana, Slovenia.
Slovenian law applies to the relationship between Be Healthy Group d.o.o. and the partner.
14. Changes to the Terms
Be Healthy Group d.o.o. may modify or supplement the Terms in response to changes in legislation or business policy.
Changes will come into effect upon publication on the website or written notice to the partner.
The partner who does not agree to the changes must cancel the collaboration within 8 days from the notice.
